Mainland

While establishing a company in the UAE, it is necessary to understand the legal structure and jurisdiction best suited for a specific business activity. Companies choosing to set up business in the Mainland do not need to adhere to a minimum capital requirement. Further the Mainland license provides flexibility to setup offices and do business anywhere in the UAE and venture into diverse industries. Companies with the Mainland license benefit from a simple registration process and can easily accept work from public and private sectors.

Business Setup in the Mainland

Mainland companies are allowed to do business in and outside UAE without any restrictions.

The following categories of license apply to mainland companies:

  •  Commercial License
  •  Industrial License
  •  Professional License

There are certain activities under commercial and industrial license which can be 100% owned by expatriates. Otherwise, UAE nationals will be required as a local partner (holding up to 51% shares) in case of a commercial license or will have to act as a local service agent in case of professional licenses.

A key aspect of business setup in the UAE is figuring out the legal structure of the entity. Foreign companies are allowed to establish any one of these legal entities:

  •  Limited Liability Company
  •  One Person LLC
  •  Branch
  •  Representative Office
  •  Sole establishment
  •  Civil Company
